General Terms & Conditions

  1. Acknowledgement of Purchase Order
    This Purchase Order is an offer to buy the goods and/or services described herein and become a binding contract on the terms and conditions herein when accepted by the seller either by acknowledgement or by shipment or other commencement of work. No revision of this order or any of the terms and conditions hereof shall be valid unless in writing and signed by an inconsistent with, or in addition to the terms and conditions contained herein unless expressly accepted in writing by Buyer.
  2. Termination/Cancellation
    Buyer reserves the right to cancel all or any part of the undelivered portion of this order if Seller does not make deliveries or performance, a delivery of defective or nonconforming g goods or workmanship and/or breaches any of the terms hereof, including the warranties of Seller.
  3. Warranty
    Seller warrants to Macis that each product furnished hereunder and any component part thereof will be
    • in conformity with the specifications in all respects and, if a non-custom product, fit for the purpose intended:
    • new (unless otherwise specified) and of good quality
    • free from faulty workmanship, material, or design
    • Services furnished hereunder shall be performed in a professional and workmanlike manner
    Warranties shall not be deemed waived by reason of Macis inspection or acceptance of any product or component part or by payment for them
  4. Inspection / Acceptance
    Seller grants to Macis the right to visit the facilities of Seller or its subcontractors or suppliers to inspect material or determine progress of manufacture or shipment. Macis acceptance shall not be deemed to occur until all products on the order have been received and/or installed and approved by Macis as conforming to the order. If any part of the products receive are not in accord with Macis specifications, Macis shall have the right to cancel any unshipped portion of the order. Supplier need to notify the organization of
    • nonconforming product,
    • obtain organization approval for nonconforming product disposition,
    • notify the organization of changes in product and/or process, changes of suppliers, changes of manufacturing facility location and, where required, obtain organization approval and
    • flow down to the supply chain the applicable requirement including customer requirements,
    • records retention requirements, and
    • right of access by the organization, their customer and regulatory authorities to the applicable areas of all facilities, at any level of the supply chain, involved in the order and to all applicable records.
  5. Inspection/Calibration Report
    All Certificates/Report provide traceability to Macis and meet AS9100/OHSAS/ISO requirements, unless require by customer.
  6. Delivery
    The specific quantity ordered must be delivery in full, unless partial deliveries are authorized, and must not be changed without Macis’s written consent. Macis reserves the right to reject or cancel all or any part of the order, delivered or undelivered, if Seller does not make deliveries as specified or scheduled. Any unauthorized quantity is subject to return at Seller’s expense.
  7. Risk of Loss
    Notwithstanding any prior inspections, the Seller bear all risk of loss, damage, or destruction to product called for hereunder unit the delivery at the FOB point named on the face hereof. Further, the Seller also bear the same risks with respect to any product rejected by the Buyer.
  8. Compliance with Law
    Goods supplied or services rendered by Seller under the order shall comply with the Occupational Safety and Health Act and the standards promulgated thereunder, if applicable, as well as with all other applicable Federal, State and local laws and regulations, including safety laws.
